Advise on Becoming Public Benefit Corporation

Assist a social enterprise creating transformational wealth in Ghana by advising on the process of becoming a Public Benefit Corporation.

Referred by:

Jurisdiction(s): U.S.
About the Organization: MoringaConnect is a social enterprise committed to using underutilized superfoods to create transformational wealth for women and farming families in Ghana.
Legal Entity Type: For-profit
SDG(s): Climate Action, End Poverty, Gender Equality, Good Health and Well Being, Life on Land (sustainability of ecosystems), Partnerships to achieve the Goals, Zero Hunger
Legal Issue(s):

MoringaConnect’s founders were advised by early investors to initially register in Delaware as a C-corp and received pro bono assistance from a large non-member firm. Now that the organization is closing its first equity round, they hope to become a Public Benefit Corporation. The MoringaConnect team is seeking a consultation to discuss whether this is advisable and what the process would entail. Additionally, down the line, they would like to share ownership with farmers, allowing them to participate in the growth of the business and facilitate transformational wealth in Ghana. The MoringaConnect team would also appreciate initial guidance on whether this is feasible.
