Solidarity Dental

Consultation on Entity Structure

Summary:

Provide a consultation on entity structure to a social enterprise that provides dental care to underserved populations in Ecuador.

Referred by:

Jurisdiction(s): U.S.
About the Organization: Solidarity Dental mobilizes access to quality dental care and education to underserved communities in Ecuador with mobile, portable, and stationary onsite clinics.
Legal Entity Type: Hybrid (nonprofit + for-profit affiliates)
SDG(s): Good Health and Well Being
Legal Issue(s):

Solidarity Dental is currently establishing a foundation in the US (Solidarity Dental Foundation) that will certify dental clinics and companies in the US (and later Japan/EU) that contribute 1% of their revenue to underserved patient populations in Ecuador, and eventually the rest of Latin America. They are seeking a consultation to discuss how best to structure their global organization – Parent Company (Solidarity Dental PBC), US Foundation (Solidarity Dental), Ecuadorian Foundation (Novulis Foundation) and dental care implementing agency/subsidiary (Novulismed SA Ecuador) in a way that is transparent and maximizes their impact. They have a few discrete questions involving tax and governance that they would love to run by a qualified attorney.
